INTRODUCTION

(A) Acceptance of Terms

These terms and conditions ("Terms") govern your access to and use of the services provided via https://peomiz.com/ and the PEOMIZ mobile applications (collectively, the "Platform"). These Terms, together with our Privacy Policy and any specialised guidelines or supplemental disclaimers issued by us ("Supplemental Terms"), constitute the entire agreement between you and the Platform. The Privacy Policy and Supplemental Terms are integrated herein by reference. In any instance of inconsistency, the Supplemental Terms shall take precedence regarding the specific service they cover.

These Terms form a legally binding and enforceable contract between PEOMIZ—a brand wholly owned and operated by Ocotillo Innovation Private Limited (hereinafter referred to as "Ocotillo", "we", "us", or "our")—and you, being either:

  1. An independent third-party service professional ("Service Professionals"), or
  2. A Small Business Owner Service Professional ("SBO Service Professional") and its direct employees, contractors, or agents (collectively, "Service Professionals") who utilise the Platform to provide services.

For these Terms, "you" or "Service Professional" shall collectively refer to the independent third-party Service Professional, SBO Service Professional and Service Professionals acting under their authority. By accessing the Platform, you warrant that you possess the legal authority and capacity to bind yourself and the entity you represent to these Terms. Furthermore, where an SBO Service Professional onboards Service Professionals, the SBO Service Professional acknowledges that they are solely responsible for ensuring their employees' compliance with these Terms and shall be held jointly and severally liable for any acts or omissions of such Service Professionals on the Platform.

(C) Language and Interpretation

While we may provide translations of these Terms in various languages for your convenience, the English version remains the sole official and legally governing text. In the event of any conflict in meaning or interpretation between the English version and a translation, the English version shall prevail in all legal proceedings.

(D) Binding Agreement and Amendments

By registering on or using the Platform, you acknowledge that you have read, understood, and voluntarily agreed to be bound by these Terms as updated from time to time. These Terms expressly supersede and replace all prior written or verbal agreements. If you do not agree to these Terms or cannot comply with the requirements herein, you must immediately cease all use of the Platform and its Services.

The Terms of this agreement are set forth below:

1. NATURE OF ENGAGEMENT & OFFERINGS

(a) Role of Peomiz: The Platform is a digital marketplace that connects Service Professionals with Customers. Peomiz assists in calculating suggested fees, optimising your schedule, and collecting payments from Customers on your behalf.

(b) Service Professional Status: You provide professional services termed as "Pro Services." Peomiz does not provide these services and is not responsible for them. You are an independent professional service provider, not an employee, agent, or partner of Peomiz or Ocotillo. You have no authority to represent or bind Peomiz, Ocotillo or its owners.

(c) Communication & Region: Peomiz is for commercial use within India. By joining, you consent to receive operational and marketing messages via SMS/WhatsApp/Email or any other communication channel. Opting out may restrict your ability to receive bookings.

(d) Onboarding & Orientation: Service Professionals must attend an orientation to learn the Platform's standards and processes. Peomiz may charge a non-refundable onboarding fee, which may be recovered from your future earnings.

(e) Standardisation Costs: Service Professionals bear the cost of any consumables used during the orientation process. Even if you do not meet Peomiz's quality standards, these costs are non-refundable.

2. ELIGIBILITY & REGISTRATION MANDATES

(a) Eligibility: Service Professionals must be 18+ years old and provide a valid government ID, trade licenses, and bank details, among others.

(b) Security Deposit: A security deposit is required before completing the onboarding process for your account on the platform. Such security deposit shall be refundable to you within 30 days of your departure from the platform (minus any outstanding dues).

(c) Accuracy: You guarantee that all shared information by you is true and correct to the best of your knowledge and information. Further, you agree to update Peomiz immediately if any of your shared details change.

(d) Clean and Clear Background: You guarantee that you have a clean and clear background and have never been convicted of any criminal offence in the past, and no such criminal or civil case is pending against you, either individually or as part of any group.

(e) Background Checks: Peomiz may use third parties to verify your criminal and professional background at your cost. Your access to the platform is strictly contingent on a "clear" report that meets our safety standards. Peomiz is not liable for the conduct of Service Professionals or Customers.

(f) One Account Rule: You can only have one Account on the Peomiz platform. Duplicate accounts will result in an immediate and permanent ban without any recourse.

(g) Security: You are responsible for your platform login credentials, including your ID and password. Do not share credentials with anyone else. If someone else uses your account, Peomiz will terminate your access immediately without any recourse.

(h) Marketing Consent: You agree to receive updates, news, and promotional offers from Peomiz and our selected professionals.

3. ORDER MANAGEMENT & SERVICE METRICS

(a) Leads: You may accept customer requests ("Leads") based on your availability.

(b) Service Professional Ranking: Your visibility to customers depends on several factors, including but not limited to the following:

  1. Your availability,
  2. Your ratings,
  3. Your proximity to the customer location, and
  4. Your acceptance rate.

(c) Peomiz Credits: You must maintain a minimum balance of "Peomiz Credits" to accept Leads. To view Customer details, a "Pre-Deposit" (a percentage of the lead value) is deducted from your credits. You authorise Peomiz to deduct these amounts from your earnings.

(d) Guarantees & Subscriptions: Peomiz may offer subscription plans for "Priority Leads" or "Minimum Business Guarantees." If Peomiz fails to provide the promised leads volume due to its own fault (system outage), it will compensate you. If you fail to meet the service requirements, Peomiz may end the guarantee.

(e) Performance Metrics: High-rated Service Professionals receive priority access to premium Leads.

(f) Clawbacks: Peomiz reserves the right to deduct credits if they were awarded in error or through fraudulent activity.

4. ENGAGEMENT OF SUPPORT PERSONNEL (HELPERS/ASSISTANTS)

(a) Restrictions: You cannot bring a Helper unless the service category explicitly allows it. You are 100% liable for your Helper's actions.

(b) Helper Criteria: Helpers must be 18+, registered on the Peomiz Service Professional App, pass a background check (at your cost), and be of the same biological sex as you for safety compliance.

(c) Liability: You must accompany the Helper at all times. Any mistake by them is treated as a mistake by you. You indemnify Peomiz and Ocotillo or its staff, employees, owners, directors, etc., against any potential claims caused by your Helper. You are fully responsible for the conduct and actions of any helpers/assistants brought to the site.

5. TOOLING, INVENTORY & CONSUMABLES

(a) Quality Standards: Peomiz may recommend specific products to ensure service quality. You can buy these from Peomiz or approved vendors. If bought elsewhere, you must prove they meet our safety specs.

(b) Non-Verifiable Products: For health/hygiene reasons (e.g., spa oils, chemicals), you must buy these only from Peomiz-approved sources.

(c) Enforcement: Using unapproved, low-quality chemicals allows Peomiz to suspend you or require mandatory re-orientation to protect the brand.

6. CONSIDERATION, BILLING & STATUTORY LEVIES

(a) Payment Collection for Professional Services: Peomiz facilitates the collection of fees from Customers for Pro Services rendered by you in connection with completed Leads. Upon Peomiz's receipt of full payment from the Customer for a specific Lead, that payment is deemed to have been made to you for the financial transaction between you and the Customer.

(b) Convenience Fee: Peomiz charges a fee for using the platform. For online payments, we deduct this before remitting your share. For cash payments, we adjust the fee from your Pre-Deposit credits.

(c) Cancellations: If you cancel a confirmed lead, Peomiz may forfeit your Pre-Deposit.

(d) Tax Responsibility: You are responsible for your own taxes; in other words, Service Professionals are responsible for their respective tax liabilities of all kinds. However, Peomiz/Ocotillo will deduct Tax Deducted at Source (TDS) at the applicable rate as per the extant provisions of the Income Tax Act, 1961 and Goods and Services Tax (GST) wherever required by law at the applicable rate as per the extant provisions of the Goods and Services Tax Act, 2017.

(e) TDS Certificate: Peomiz/Ocotillo will provide you with the appropriate TDS certificates (e.g., Form 16A, Form 16) periodically, which you can use to claim tax credits against your total income tax liability when filing your income tax returns.

7. CODE OF CONDUCT & ETHICAL GUIDELINES

(a) Zero Tolerance: Discrimination against Customers based on race, religion, caste, gender, age or any other characteristics (tangible or intangible) is strictly prohibited and results in an immediate ban of your account with us.

(b) Professionalism: Service Professionals must be courteous at all times with the Customers and Peomiz/Ocotillo/us. Abusive behaviour in any form allows Peomiz/Ocotillo/us to terminate your account immediately at its sole discretion.

8. INTELLECTUAL PROPERTY IN USER SUBMISSIONS

(a) Feedback: Customers rate you, and you rate Customers. You agree not to provide false feedback. Both ratings are very important aspects of operations and help us in improving the service quality and service delivery mechanism for all concerned.

(b) License: You grant Peomiz/Ocotillo/us a free, permanent, global license to use your profile, photos, and reviews for marketing and platform operation.

(c) Moderation: Peomiz/Ocotillo/us can remove any content you upload on our Platform that violates our standards.

9. INFORMATION SECURITY & AUTOMATED SYSTEMS

(a) Data Usage: Peomiz/Ocotillo/us collects and shares your data with affiliates/professionals as per our Privacy Policy for analytics and safety purposes. The collection and processing of your personal data comply with the provisions of the Digital Personal Data Protection (DPDP) Act, 2023 of India, as provided below:

  1. Processing for Specified Purposes: The Service Professional's personal data will only be processed for the specific, clear, and lawful purposes explicitly communicated at the time of data collection. Data will not be used for any unspecified secondary purposes without obtaining fresh, informed, and unconditional consent.
  2. Data Principal Rights (Correction & Erasure): The Service Professional, as the Data Principal, has the right to request the correction and/or erasure of their personal data held by the platform operator, i.e., Peomiz/Ocotillo/us. Requests for correction or deletion of data can be submitted through the designated channels. Peomiz/Ocotillo/us will comply with such requests promptly, subject to any legal obligations to retain certain information.
  3. Right to Withdraw Consent: Consent for data processing can be withdrawn by the Service Professional at any time. Withdrawal of consent may, however, result in the immediate termination of access to the platform's services or certain features, as the processing of the data may be essential for the operation of the platform and delivery of services.

(b) Government Requests: We will share your data with the government authorities and law enforcement agencies wherever legally required or warranted.

(c) Digital Photo Enhancement: Peomiz/Ocotillo/us may use AI and any other technologies to standardise your profile picture (e.g., adding a Peomiz uniform or fixing lighting, etc.). You use these AI images outside the platform at your own risk.

10. EXTERNAL INTEGRATIONS & LINKED SERVICES

(a) Third-Party Services: The App may link to third-party tools or insurance providers, or any such service providers. Peomiz is not responsible for their accuracy or performance. You use them at your own risk under their specific terms.

(b) External Content: The Peomiz Platform may show links or information from third parties. These are not owned by Peomiz/Ocotillo/us.

(c) User Risk: Using third-party services is entirely at your own risk and discretion. Peomiz and Ocotillo are not responsible for their accuracy or safety.

(d) No Liability: We exclude all warranties regarding third-party content. You will be bound by the third party's own terms and privacy policies.

11. OBLIGATIONS OF THE USER

(a) Truthful Information: You must provide 100% accurate information during the onboarding process or at any other time whenever such information is sought from you by Peomiz/Ocotillo/us. If your details change (e.g., address, other personal details), you must inform us immediately and submit such changed details. Peomiz is not liable for any losses caused by incorrect information you provided.

(b) Legal Cooperation: If Peomiz or Ocotillo faces legal action due to your actions, you must fully cooperate in our defence.

(c) Content Rules: Any content (reviews/photos) you post must be owned by you. It must not be illegal, offensive, or violate anyone's privacy. You are solely responsible for such postings, and Peomiz/Ocotillo/us shall not be responsible for such postings in any way.

(d) Forbidden Content: You shall not upload viruses, misinformation, or anything that threatens the sovereignty of India or violates local laws.

(e) Service Integrity: You are strictly forbidden from reverse-engineering the Platform or using bots/scripts to scrape data or in any other manner whatsoever.

(f) Service Quality: You are solely responsible for the performance of your services (Pro Services). Any spare parts or consumables you use must meet industry standards. All warranty obligations belong to you, not Peomiz/Ocotillo/us.

(g) Workplace Safety: The Service Professional agrees that they will not perform a service if the environment is unsafe (e.g., faulty electrical mains) and that Peomiz/Ocotillo is not liable for injuries sustained due to the Customer's site conditions.

12. RESTRICTIVE COVENANTS & SYSTEM INTEGRITY

(a) Off-Platform Prohibited: To protect the safety of customers and the brand, all services initiated via Peomiz/Ocotillo/us must be completed only through the platform. Bypassing the platform ("direct booking") is a ground for immediate termination.

(b) Service Professionals are prohibited from:

  1. Direct Dealing: Accept private payments or share personal phone numbers to bypass the Peomiz platform.
  2. Solicitation: Request tips or "extra charges" for parts not mentioned in the official invoice.
  3. Sub-contracting: Hand over a Peomiz booking to an unverified third party or friend, i.e., sub-contracting in any form is not permitted.

(c) Freedom of Services: Nothing in this Agreement limits your right to perform services for other businesses or independently. However, you agree that such outside engagements will not involve Peomiz-initiated clients or utilise Peomiz's proprietary resources without prior written consent.

13. OWNERSHIP OF PROPRIETARY ASSETS

(a) Ownership: All Intellectual Property (IP) existing before or developed outside the scope of this Agreement, including all software, logos, trademarks, copyrights, patents, proprietary knowledge, technology, algorithms, Standard Operating Procedures (SOPs), operational tactics, programming code, marketing slogans, strategies, policies, customer lists and data, and content available on the Platform, are and shall remain the exclusive property of Peomiz/Ocotillo/Us. The Service Professional has no right to the customer's contact details after the lead is done. You are granted a limited, non-exclusive, non-transferable, revocable license to use this IP solely for the express purpose of providing Pro Services as defined within this Agreement.

(b) Feedback: If you suggest improvements (Feedback), Peomiz/Ocotillo/us can use those ideas for free without your permission or any payment.

14. VALIDITY, SUSPENSION & EXIT

(a) Our Right: Peomiz/Ocotillo/Us may block or terminate your account instantly if you breach any rules, provide poor service, or for any legitimate business reason.

(b) Your Right: You can stop using the platform at any time by notifying Peomiz in writing.

(c) Effect of Termination: Once terminated, you lose access to your data/account. Peomiz/Ocotillo/Us will settle your dues (minus any money you owe us) within a reasonable time. You must destroy or return any Peomiz/Ocotillo/Us brand materials in your possession.

15. EXCLUSION OF WARRANTIES & LIABILITY CAPS

(a) "As Is" Basis: The platform is provided without any guarantees. We don't promise the app will always be error-free or meet all your expectations.

(b) Peomiz is an Intermediary: We only connect you with Customers. The contract for work is between You and the Customer. Peomiz/Ocotillo/Us and its directors/employees/staff (past, present or future) are not liable for any damage you cause to a customer's property.

(c) Mandatory Ratings: You must maintain a minimum star rating. If your rating drops, your access may be blocked until you undergo re-orientation.

(d) No Defamation: You must not make any negative or defamatory statements about Peomiz or Ocotillo. You are explicitly forbidden from posting "internal app screenshots, fee structures, or private communication with Peomiz staff" on public platforms like LinkedIn, Twitter, Meta / Facebook, Instagram, or WhatsApp groups, among others.

(e) Liability Cap: To the maximum extent permitted by law, the total liability of Peomiz/Ocotillo to you for any claim is limited to the commission earned on that specific booking, and in no event shall it exceed INR 25,000 (Indian Rupees Twenty Five Thousand only).

16. COVENANT TO SAVE HARMLESS

(a) You Protect Us: You agree to "indemnify" Peomiz, Ocotillo, and its directors, employees, and staff for any losses, legal fees, or damages caused by your service performance or breach of these terms.

(b) Damage Compensation: If you damage a customer's property, Peomiz may choose to compensate the customer directly to protect the brand's reputation. You agree that Peomiz/Ocotillo shall recover this full amount from your earnings or security deposit.

17. GOVERNING LAW & ARBITRATION FRAMEWORK

(a) Initial Resolution: If you have a dispute or claim regarding these Terms or the Platform, you must first attempt to resolve it through the following Peomiz channels:

  1. Your designated City Manager;
  2. The Peomiz Service Professional Helpline; or
  3. The formal grievance process within the Peomiz Service Professional App.

(b) Mediation: If the issue remains unresolved after 30 days of the initial complaint, both parties agree to attempt a good-faith settlement through private mediation before pursuing further legal action.

(c) Governing Law & Jurisdiction: These Terms are governed by the laws of India. The courts in Mumbai shall have exclusive jurisdiction over all matters arising from these Terms or the use of the Peomiz Platform/Ocotillo.

(d) Arbitration: If mediation fails within 45 days, the dispute shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996.

(e) Location: The juridical seat and venue of arbitration shall be Mumbai, India.

(f) Tribunal: A single (1) arbitrator shall be mutually appointed by you and Peomiz/Ocotillo.

(g) Confidentiality: All proceedings, documents, and awards must remain strictly confidential.

(h) Costs: Each party will bear its own legal and arbitration costs, subject to the final award of the Arbitrator. The arbitrator's decision will be final and binding.

18. COMPLAINT RESOLUTION MECHANISM

(b) Timelines: Peomiz/Ocotillo shall endeavour to resolve all formal grievances within the timelines mandated by applicable Indian laws.

(c) Freedom of Association: Peomiz respects your legal rights. You will not be penalised or discriminated against for holding membership in a trade union or participating in lawful collective bargaining. However, such association must not harm the interests, directors, personnel, physical/intangible properties and/or reputation of Peomiz/Ocotillo in any manner whatsoever.

19. NON-CIRCUMVENTION AND ANTI-SOLICITATION

(a) Restriction on Direct Dealing: The Service Professional acknowledges and agrees that all customers introduced through the Platform are the exclusive proprietary business/customers of Peomiz/Ocotillo/us. During the term of this Agreement and for a period of 12 months following its termination, the Service Professional shall not, directly or indirectly, solicit, bypass, or circumvent Peomiz to provide Pro Services to any customer introduced via the Platform. Further, the Service Professional must not share customer details with anyone for subcontracting or any other purpose.

(b) Prohibition of Personal Contact: The Service Professional is strictly prohibited from sharing personal contact details (mobile number, social media, or personal business cards) with the customer. All communication must happen through the Peomiz-provided channels. Any "Private Service" or "Off-Platform" service provided to a Peomiz customer shall be considered a Material Breach of this Agreement.

(c) Duty to Report: If a customer approaches the Service Professional to perform services outside of the Peomiz Platform, the Service Professional must report such an incident to Peomiz Management within 24 hours.

(d) Liquidated Damages & Penalties: In the event of a breach of this clause, the Service Professional agrees to pay Peomiz a pre-estimated sum of ₹25,000 per instance or 10 times the value of the service performed, whichever is higher, to compensate for the loss of business, marketing costs, and platform integrity damage suffered by Peomiz due to such breach. Additionally, Peomiz/Ocotillo reserves the right to:

  1. Immediately terminate the Service Professional's access to the Platform.
  2. Forfeit any outstanding payouts or "Security Deposit" held by the company.
  3. Initiate legal proceedings for the recovery of lost business and damages.

20. CORE PROFESSIONAL STANDARDS

(a) Uniform & Identity: Wear the Peomiz-branded vest/ID card at all times during a service call. Maintain a clean and professional appearance.

(b) Punctuality: Arrive at the customer's location within 15 minutes of the scheduled slot. Any delay must be updated on the Peomiz Service Professional App immediately.

(c) The "Clean-Site" Rule: After every service, ensure all dirt, waste material, glass shards, tape residue, or packaging, removed parts and components, etc. are removed. The workspace must be cleaner than when you arrived.

21. CUSTOMER'S DATA PRIVACY & INTEGRITY

(a) Zero-Access Policy: Service Professionals are strictly prohibited from browsing a customer's gallery, messages, or apps. Testing must be limited to the "Diagnostic Wizard" functions.

(b) Screen-Lock Protocol: Whenever possible, ask the customer to enter their own password for testing. Never ask for banking or UPI PINs.

(c) Component Integrity: Only genuine or Peomiz-approved "OEM-Grade" parts provided by the SBO Service Professional may be installed. Swapping original customer parts for inferior ones is a "Zero Tolerance" offence.

22. ON-SITE BEHAVIORAL CODE

(a) Transparency: Use the "Diagnostic Wizard" to explain the fault to the customer in simple language before opening the device. Provide a clear quote based on the Peomiz Rate Card.

(b) Privacy: Do not enter rooms or areas other than the designated service or repair area unless explicitly invited by the customer.

(c) Safety: Always prepare the "Pre-Repair Health Report" to document pre-existing scratches or dents before starting work to avoid liability disputes.

23. GENERAL PROVISIONS & SEVERABILITY

(a) Changes to Terms: Peomiz/Ocotillo reserves the right to revise these Terms at its sole discretion. Changes become effective 7 days after being posted on the Platform. Continued use of the Platform after this period constitutes your absolute acceptance of the revised Terms. It is your responsibility to check for updates periodically.

(b) Modification/Discontinuation of Services: Peomiz may modify or stop providing services (temporarily or permanently) in any city or category by providing 30 days' notice via the app.

(c) Consumable Buy-back: If services are permanently discontinued (not due to Force Majeure), Peomiz may buy back unused, unopened, and undamaged Peomiz-branded kits/consumables purchased in the previous 3 months, at its sole discretion.

(d) Relocation: If a service category is closed, Peomiz will make best efforts to offer you orientation for a different category, subject to your skillset and relevant onboarding costs.

(e) Severability: If any part of these Terms is found to be unlawful by a court, the rest of the Terms will remain in full force and effect.

(f) Assignment: You cannot transfer or sell your Peomiz Service Professional account or rights under this agreement to anyone else without our written consent. Peomiz/Ocotillo may assign its rights to any affiliate or third party without prior notice to you.

(g) Notices: All formal or legal notices to the company must be sent to [email protected].

(h) Third-Party Rights: These Terms are strictly between you and Peomiz/Ocotillo. No third party has the right to enforce any part of this agreement.

(i) Force Majeure: Peomiz and Ocotillo shall not be held liable for any delay or failure in performance caused by events beyond our reasonable control, including natural disasters, strikes, pandemics, utility failures, terrorist attacks, or government orders.

(j) Independent Contractor Relationship: This agreement does not create a partnership, employment, or agency relationship. You are an independent Service Professional. You have no authority to enter into contracts or commitments on behalf of Peomiz or Ocotillo.

24. ACKNOWLEDGMENT & PENALTIES

(a) Mystery Audits: The Service Professional understands that Peomiz shall perform regular mystery audits and collect customer ratings.

(b) Rating Threshold: Falling below a 4.5-star rating may result in mandatory re-orientation or suspension.

(c) Breach of Trust: Any instance of data theft, part-swapping, or physical misconduct will result in immediate termination of the platform access and potential legal action under the Indian Penal Code and IT Act.
