TERMS AND USE

These Terms of Use ("Terms") govern your access to and use of the PEOMIZ platform, including its website, mobile applications, and related services (collectively, the "Platform"), provided by PEOMIZ ("PEOMIZ," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

1. INTRODUCTION

1.1. Welcome to PEOMIZ, a technology platform that facilitates the booking of various home and personal, and other related services from independent third-party service partners ("Service Partners" or "Gig Workers"). PEOMIZ acts solely as an intermediary to connect users seeking services ("Users" or "Customers") with Service Partners offering such services.

1.2. These Terms constitute a legally binding agreement between you and PEOMIZ.

2. DEFINITIONS

a. "Account": The user account created on the PEOMIZ Platform for accessing and using the Services.

b. "Booking": A confirmed request for services made by a User through the PEOMIZ Platform.

c. "Content": Any text, graphics, images, music, software, audio, video, information or other materials.

d. "Customer" / "User": Any person who accesses or uses the PEOMIZ Platform to seek and book services.

e. "Intellectual Property Rights": All patents, rights to inventions, copyright and related rights, trademarks, service marks, trade names, business names, domain names, rights in get-up, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights.

f. "Platform": The PEOMIZ websites, mobile applications, and related services.

g. "Service Partner" / "Gig Worker": An independent third-party service provider who offers and performs facilitated services booked through the PEOMIZ Platform.

h. "Facilitated Services": Refers to the diverse range of home, personal, and other specialized services provided by independent Service Partners and made accessible to users solely through the Peomiz Platform.

i. "Platform Services": Encompasses the comprehensive suite of features and functionalities offered by Peomiz, including the processing of bookings, payments, communication tools, and other ancillary activities that connect users with Service Partners for the purpose of receiving Facilitated Services.

j. "Site": Refers to the PEOMIZ websites and mobile applications.

k. "User Generated Content": Any content, including reviews, ratings, comments, photos, or other materials, that a User submits or transmits through the Platform.

3. INTERPRETATION

3.1. Headings are for convenience only and shall not affect the interpretation of these Terms.

3.2. Words importing the singular shall include the plural and vice versa.

3.3. Any reference to "include" or "including" shall be interpreted as illustrative and not limiting.

4. ACCEPTANCE OF THE TERMS AND CONDITIONS

4.1. By accessing, browsing, or using the PEOMIZ Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

4.2. These Terms apply to all visitors, users, and others who access or use the Platform.

4.3. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

5. ELIGIBILITY

5.1. You must be at least 18 years old and capable of entering into a legally binding agreement to use the PEOMIZ Platform.

5.2. If you are under 18 years of age, you may use the Platform only with the involvement of a parent or guardian.

5.3. By using the Platform, you represent and warrant that you meet the eligibility requirements.

6. ACCESS TO THE SITE & ACCOUNT CREATION

6.1. PEOMIZ grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your personal, non-commercial use, subject to these Terms.

6.2. To access certain features of the Platform and book services, you must create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

6.3. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify PEOMIZ immediately of any unauthorized use of your Account or any other breach of security. PEOMIZ will not be liable for any loss or damage arising from your failure to comply with this section.

7. USER INFORMATION & PERSONAL INFORMATION

7.1. When you create an Account or use the Platform, we may collect personal information about you, including but not limited to your name, contact details, address, payment information, and service preferences.

7.2. Your use of the Platform and any personal information provided by you is subject to our Privacy Policy, which details how we collect, use, store, and disclose your personal information. By using the Platform, you consent to such collection, use, and disclosure in accordance with our Privacy Policy.

7.3. You are solely responsible for the accuracy, truthfulness, and completeness of the information you provide to PEOMIZ.

8. CONSENT TO USE DATA & EUROPEAN UNION DATA PROTECTION RIGHTS

8.1. By using the Platform, you consent to PEOMIZ's collection, use, and disclosure of your data as described in our Privacy Policy.

8.2. While PEOMIZ primarily operates under Indian jurisdiction, we acknowledge the importance of data protection. If you are a resident of the European Union, you may have certain rights under the General Data Protection Regulation (GDPR) regarding your personal data. PEOMIZ endeavours to apply appropriate data protection principles to all users. For specific requests regarding your data, please refer to our Privacy Policy or contact our Grievance Officer.

9. THE PEOMIZ PLATFORM & SERVICES

9.1. PEOMIZ Platform: The Platform provides a marketplace where Users can connect with Service Partners for a variety of home and personal services. PEOMIZ itself does not provide these services and is not an employer of any Service Partner.

9.2. Services: The specific services available through the Platform will be displayed on the Site. PEOMIZ reserves the right to add, modify, or discontinue any services at its sole discretion.

9.3. Professional Services by 3rd Party Service Providers: All services booked through the Platform are provided by independent third-party Service Partners, not by PEOMIZ. PEOMIZ's role is limited to facilitating the connection between Users and Service Partners and processing payments. PEOMIZ makes no representations or warranties about the quality or suitability of services provided by Service Partners.

9.4. Bookings:

a. Users can request services by making a Booking through the Platform.

b. Once a Booking is made, PEOMIZ will endeavour to connect you with an available Service Partner.

c. Confirmation of a Booking does not guarantee that a Service Partner will accept the job, as Service Partners operate independently.

d. Upon acceptance by a Service Partner, you will receive a confirmation.

e. Cancellations and rescheduling of Bookings are subject to PEOMIZ's cancellation policy, as updated from time to time.

9.5. Customer Conduct: Users agree to treat Service Partners with respect and professionalism. Any abusive, discriminatory, or inappropriate behaviour towards Service Partners is strictly prohibited and may result in the suspension or termination of your Account.

9.6. Third-Party Services & Content: The Platform may contain links to third-party websites or services that are not owned or controlled by PEOMIZ. PEOMIZ has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

10. PAYMENT TERMS & CONDITIONS, PRICING, FEES, AND PAYMENT TERMS

10.1. Pricing: The pricing for services will be displayed on the Platform. Prices may vary based on the type of service, location, time, and other factors. PEOMIZ reserves the right to change its pricing at any time.

10.2. Fees: In addition to the service price, PEOMIZ may charge convenience fees, platform fees, or other charges as indicated on the Platform.

10.3. Payment: Payment for services and applicable fees will be processed through the Platform using various payment methods. You agree to pay all amounts due promptly.

10.4. Payment Processing: PEOMIZ uses third-party payment processors. By making payments through the Platform, you agree to their terms and conditions. PEOMIZ is not responsible for any issues arising from the payment processor's services.

10.5. Refunds: Refunds, if applicable, will be processed in accordance with PEOMIZ's refund policy, which may be updated from time to time.

10.6. Subscription Plans: PEOMIZ may offer subscription plans for certain benefits or discounted services. The terms and conditions for such plans will be detailed separately.

11. CONTENT ON THE SITE & USER GENERATED CONTENT

11.1. Content on the Site: All Content on the Platform, including text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of PEOMIZ or its content suppliers and protected by Indian and international copyright laws.

11.2. User Generated Content:

a. You may be able to submit, post, or transmit User Generated Content on the Platform, including reviews, ratings, comments, and photos.

b. By submitting User Generated Content, you grant PEOMIZ a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Generated Content in connection with the Platform and PEOMIZ's business.

c. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish and use your User Generated Content.

d. PEOMIZ does not endorse any User Generated Content and is not responsible or liable for any User Generated Content.

e. PEOMIZ reserves the right to remove any User Generated Content at its sole discretion.

12. INTELLECTUAL PROPERTY

12.1. All Intellectual Property Rights in and to the PEOMIZ Platform, including its software, design, text, graphics, logos, images, and other content, are owned by PEOMIZ or its licensors.

12.2. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for personal, non-commercial purposes only.

12.3. Any feedback, comments, or suggestions you may provide regarding the Platform or Services ("Feedback") is entirely voluntary, and we will be free to use such Feedback as we see fit.

13. RIGHTS OF PEOMIZ

13.1. PEOMIZ reserves the right to:

a. Modify or terminate the Platform or any service offered through it, for any reason, without notice at any time.

b. Refuse service to anyone for any reason at any time.

c. Remove or edit Content, in its sole discretion.

d. Modify these Terms of Use at any time.

e. Investigate and prosecute violations of these Terms to the fullest extent of the law.

f. Cooperate with law enforcement authorities in prosecuting users who violate these Terms.

14. UNATHORIZED ACCESS & ABUSE OF PEOMIZ'S SERVICES

14.1. You agree not to:

a. Access, tamper with, or use non-public areas of the Platform, PEOMIZ's computer systems, or the technical delivery systems of PEOMIZ's providers.

b. Attempt to probe, scan, or test the vulnerability of any PEOMIZ system or network or breach any security or authentication measures.

c. Interfere with, or attempt to interfere with, the access of any user, host, or network.

d. Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting.

e. Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Platform or Services.

f. Use the Platform for any illegal or unauthorized purpose.

g. Engage in any form of harassment or offensive behaviour towards Service Partners or other Users.

h. Solicit Service Partners or Users for services outside of the Platform.

15. OPERATIONAL HAZARDS/ COMPUTER VIRUS ATTACKS

15.1. PEOMIZ does not guarantee that the Platform will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programs, and platform to access our Platform.

15.2. You must not misuse our Platform by knowingly introducing viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.

16. DISCALIMERS AND WARRANTIES

16.1. THE PEOMIZ PLATFORM AND ALL CONTENT, SERVICES, AND PRODUCTS MADE AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

16.2. PEOMIZ DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

16.3. PEOMIZ DOES NOT WARRANT THAT THE SERVICES PROVIDED BY SERVICE PARTNERS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

16.4. ANY ADVICE OR INFORMATION OBTAINED FROM PEOMIZ OR THROUGH THE PLATFORM, WHETHER ORAL OR WRITTEN, WILL NOT CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

17. LIMITATION OF LIABILITY

17.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEOMIZ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

17.2. THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS.

17.3. PEOMIZ'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM OR SERVICES WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES PAID BY YOU TO PEOMIZ IN THE SIX (06) MONTHS PRECEDING THE CLAIM, OR (B) INDIAN RUPEES ONE THOUSAND (INR 1,000).

18. INDEMNITY

18.1. You agree to indemnify, defend, and hold harmless PEOMIZ, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees arising out of or relating to:

a. Your access to or use of the Platform or Services;

b. Your User Generated Content;

c. Your violation of these Terms;

d. Your violation of any rights of a third party;

e. Your interaction with any Service Partner.

19. GRANT OF RIGHTS TO PEOMIZ'S FINANCE PARTNERS

19.1. In the event that PEOMIZ partners with financial institutions to offer payment or credit facilities to Users, you agree to the sharing of necessary information with such finance partners for the purpose of facilitating those services, subject to our Privacy Policy.

20. LAW ENFORCEMENT & REPORTING A FRAUD

20.1. PEOMIZ is subject to the applicable laws and regulations in India.

20.2. PEOMIZ will cooperate with law enforcement agencies (LEAs) in investigations of alleged fraudulent or illegal activities.

20.3. If you believe you have been a victim of fraud or suspicious activity on the Platform, please report it immediately to our Grievance Officer.

21.2. PEOMIZ will endeavour to address your concerns in a timely and efficient manner as per applicable consumer protection laws and regulations.

22. VIOLATIONS BY USER

22.1. Any violation of these Terms, including but not limited to, unauthorized access, abuse of services, or fraudulent activities, may result in the immediate suspension or termination of your Account.

22.2. PEOMIZ reserves the right to take any action it deems appropriate against users who violate these Terms.

23. TERM AND TERMINATION

23.1. These Terms will remain in full force and effect while you use the Platform.

23.2. PEOMIZ may terminate or suspend your access to the Platform at any time, without prior notice or liability, for any reason whatsoever.

23.3. Upon termination, your right to use the Platform will immediately cease.

24. WAIVER AND SEVERABILITY

24.1. Waiver: No waiver by PEOMIZ of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition.

24.2. Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent.

25. AMENDMENT & UPDATES TO THIS AUP (ACCEPTABLE USE OF POLICY)

25.1. PEOMIZ reserves the right, at its sole discretion, to modify or replace these Terms at any time.

25.2. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

25.3. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms.

26. GOVERNING LAW AND JURISDICTION AND DISPUTE RESOLUTION

26.1. These Terms shall be governed by and construed in accordance with the laws of India.

26.2. All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

26.3. Any dispute, controversy, or claim shall be resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996.

27. MISCELLANEOUS PROVISIONS

27.1. Entire Agreement: These Terms, together with the Privacy Policy and any other policies or guidelines posted on the Platform, constitute the entire agreement between you and PEOMIZ.

27.2. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without PEOMIZ's prior written consent.

27.3. Notices: Any notices or other communications provided by PEOMIZ under these Terms will be given by PEOMIZ via email or by posting to the Platform.

27.4. Force Majeure: PEOMIZ shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control.

28. SPECIAL CONDITIONS (IF ANY)

28.1. Any specific service-related terms and conditions, promotional offers, or temporary policies will be communicated separately on the Platform or at the time of booking.

29. YOUR RESPONSIBILITIES

29.1. You are solely responsible for ensuring that your access to and use of the Platform and Services complies with all applicable laws and regulations.

29.2. You are responsible for providing a safe and appropriate environment for Service Partners to perform services at your location.

29.3. You are responsible for safeguarding your personal belongings and valuables during service delivery.
